Texas · TREC 20-19 ¶9Texas closing date rules: what TREC 20-19 paragraph 9 says
The TREC resale contract sets the closing date as the date written in paragraph 9A, or within 7 days after objections under paragraph 6D have been cured or waived – whichever is later. If either party fails to close by that Closing Date, the other may use the default remedies in paragraph 15. At closing the seller signs and delivers a general warranty deed with no title exceptions beyond those permitted in paragraph 6, and tax statements or certificates showing no delinquent taxes; the buyer pays the sales price in good funds acceptable to the escrow agent; both sign the notices, affidavits, releases, loan documents and warranty transfers reasonably required to close and issue the title policy. There may be no liens or assessments that are not paid from the sale proceeds, other than loans the buyer assumes. Private transfer fees are the seller's unless the contract says otherwise; HOA transfer fees follow the HOA addendum.

What each side delivers (¶9B)
- Seller: a general warranty deed with no exceptions beyond ¶6, and tax certificates showing no delinquent taxes.
- Buyer: the sales price in good funds acceptable to the escrow agent.
- Both: notices, statements, affidavits, releases, loan documents and warranty transfers reasonably required to close and issue the title policy.
- No liens or assessments left unpaid from the proceeds, except loans the buyer assumes (not in default).
- Private transfer fees: the seller pays unless the contract says otherwise; HOA transfer fees follow the HOA addendum.
Where closing dates slip
- A late title objection cure pushes closing to 7 days after the cure or waiver.
- The Closing Disclosure must reach the buyer 3 business days before signing on a financed purchase.
- Repairs not finished: ¶7F allows up to a 5-day extension.
- Any other change of date needs a signed amendment.
Questions buyers and sellers ask
Can the closing date move automatically in a Texas contract?
Yes, in one case: closing is the date written or within 7 days after title objections are cured or waived, whichever is later (TREC 20-19 ¶9A). Other changes need an amendment.
What if the seller or buyer does not close on time in Texas?
The non-defaulting party may use the remedies in paragraph 15 – specific performance or other relief, or termination with the earnest money (¶9A, ¶15).
Who pays private transfer fees in Texas?
The seller, unless the contract provides otherwise; HOA transfer fees follow the HOA addendum (¶9B(5)).
