Wyoming · W.S. 3-9-105–3-9-120Wyoming power of attorney at closing: signing and the duty to accept

Under Wyoming's Uniform Power of Attorney Act, a power of attorney is signed by the principal, or in the principal's conscious presence by another person the principal directs; a signature acknowledged before a notary public or other authorized person is presumed genuine (W.S. 3-9-105). A person that in good faith accepts a purportedly acknowledged power of attorney without actual knowledge of a problem may rely on it, and may request an agent's certification under penalty of perjury or an English translation – both at the principal's expense (W.S. 3-9-119). The person must accept the power, or request a certification or translation, within 7 business days after presentation, and accept within 5 business days after receiving it, without requiring a different form – unless an exception applies, such as a good-faith belief that the power isn't valid or the agent lacks authority, actual knowledge of termination, or a report of suspected abuse (W.S. 3-9-120(a)–(b)). A wrongful refusal can bring a court order to accept and liability for reasonable attorney's fees and costs (W.S. 3-9-120(c)).

The rules

  1. 1. Signing (3-9-105)

By the principal; a notarized signature is presumed genuine.

  2. 2. Requests (3-9-119)

Certification or translation, at the principal's expense.

  3. 3. Acceptance (3-9-120(a))

Accept or request within 7 business days; then 5 business days.

  4. 4. Wrongful refusal (3-9-120(c))

    Court order and attorney fees.

What the TC can do

  • Send the power of attorney to the title company as soon as you know a party will sign through an agent.
  • Check that the principal's signature was acknowledged before a notary.
  • Calendar the 7-business-day acceptance window from the date it's presented.
