Oklahoma · 60 O.S. §§524, 525Oklahoma condo sale: the unpaid assessments statement that caps the buyer's liability
Under Oklahoma's Unit Ownership Estate Act, unpaid common expense assessments are a lien on the unit ahead of all other liens except past-due taxes, earlier court judgments, mortgages recorded before the assessment, and certain earlier mechanic's liens (60 O.S. §524(a)). When an encumbered unit is sold, the assessment lien is paid first, out of the sale proceeds or by the buyer (§524(c)). The buyer is jointly and severally liable with the seller for the seller's unpaid share of common expenses up to the conveyance, with a right to recover it from the seller – but the buyer is entitled to a statement from the manager or board of managers setting out the unpaid assessments, and isn't liable for, nor is the unit subject to a lien for, any unpaid assessments above that amount (§525). A first mortgagee or other buyer who takes title through foreclosure of the first mortgage isn't liable for assessments that came due before it acquired title (§524(d)).
The rules
1. Lien (§524(a))
Ahead of all liens except past-due taxes, earlier judgments, earlier mortgages and certain earlier mechanic's liens.
2. At sale (§524(c))
Paid first, from the proceeds or by the buyer.
3. Statement (§525)
Buyer is entitled to the managers' statement of unpaid assessments; no liability above it.
4. Foreclosure (§524(d))
First-mortgage foreclosure buyer not liable for earlier assessments.
What the TC can do
- Request the unpaid assessments statement from the manager or board of managers early.
- Put the statement amount on the settlement statement as a payoff from the seller's proceeds.
- Keep the statement in the deal file – it caps the buyer's liability.
