Due diligence period: the questions agents and buyers ask

Does the due diligence period include weekends?

Yes, in both North Carolina and Georgia. Days are calendar days, and a period that ends on a Saturday, Sunday or holiday ends on that day – it does not move to the next business day.

What time does the due diligence period end in North Carolina?

At 5:00 p.m. on the last day, under the standard Offer to Purchase and Contract (Form 2-T). Count consecutive calendar days starting the day after the Effective Date – for example, an Effective Date of July 1 with 14 days ends July 15 at 5:00 p.m.

How are the days counted in Georgia?

The Binding Agreement Date is day zero; the next day is day 1. A day ends at 11:59 p.m. A 7-day period that starts on a Sunday ends the following Sunday at 11:59 p.m.

Earnest money vs. due diligence fee in North Carolina – what is the difference?

The due diligence fee is paid directly to the seller for the right to inspect and to terminate during the due diligence period; it is generally not refunded if the buyer terminates. The earnest money deposit is held in escrow and is refunded if the buyer terminates before the due diligence period ends. When each one must be delivered is set in the contract.

What if the date blank in the North Carolina contract is empty?

Then it is unclear when, or whether, the due diligence period ends – the parties should fix it with an amendment, and a lawyer can advise if they disagree.

Can the due diligence period be extended?

Only by a written agreement signed by both parties. Every deadline that depends on it should be checked again – ClosingCode moves them for you when the amendment is uploaded.
